Terms of service

How we work together.

Who we are

Copyweb is the trading name for the marketing AIOS practice operated by Liam Petersen and Jensen Grebe. We serve DTC e-commerce and CPG brands globally. References to "we", "us", and "Copyweb" mean Liam, Jensen, and the company. "You" means the visitor, applicant, or client engaging with us.

What we offer

Our services span four tiers documented at copyweb.io:

  • Day-1 Marketing Pack — fixed-scope research + brand-voice deliverable.
  • Modules (Email AIOS, Meta AIOS, custom) — productised monthly retainers building specific layers of your marketing AIOS.
  • Superhuman Diagnostic — 2-week paid assessment that produces a scoped Build plan. Diagnostic fees credit 100% toward a Build if you proceed.
  • Superhuman Build — 6-8 week custom 5-layer marketing AIOS engagement.
  • Evolution Retainer — ongoing monthly support after a Build ships.

Exact scope, deliverables, and timelines for any specific engagement are written into a scope-of-work document signed by both parties before work begins.

Payment terms

Founding rates

Founding rates apply through June 30, 2026. After that date or once founding-rate cohort spots are filled, the standard rates apply. Pricing in effect at the time you sign a scope doc is what binds — we don't retroactively change rates on active engagements.

How we bill

  • Fixed-fee deliverables (Day-1 Pack, Diagnostic, Build): 50% on signature, 50% on delivery. Or 100% upfront if you prefer the simpler invoice.
  • Module retainers + Evolution Retainer: monthly billing in advance. First invoice covers month 1 + the one-time setup fee where applicable.
  • Payment terms: net 7 days from invoice date.

Refunds and guarantees

We back specific deliverables with specific guarantees, written into the scope doc for that engagement. As a baseline:

  • Diagnostic refund clause: if a completed Diagnostic doesn't surface at least 3 opportunities that would save you 10+ hours per week each, we refund the fee in full.
  • Build productivity guarantee: if a shipped Build doesn't produce 3× productivity within 90 days of go-live (measured against an agreed baseline), we work for free until it does.
  • For other tiers and engagements, refund terms are specified in the relevant scope doc. Where no refund clause is written, fees are non-refundable once work has begun in good faith.

Intellectual property

Your IP stays yours

Brand assets you share with us — your logo, product photography, voice samples, customer research, internal documents — remain your property. We have a limited licence to use them only for the purpose of delivering your engagement. We won't share, sell, or use them for any other client without your written permission.

Our tools stay ours

Our internal tooling — CopyAds, Mission Control, our skill library, our copywriting intelligence layer, our prompt engineering, our workflows — is our IP. You don't get ownership of them by engaging us. If a Build engagement produces tooling specifically for your operation, the scope doc will spell out which parts you own vs license.

Deliverables you receive

Specific deliverables produced for your engagement — copy, creative concepts, briefs, scope docs, generated ads, dashboards built for your team — are licensed to you under a perpetual, irrevocable, royalty-free licence to use however you want commercially. We retain the right to reference the work as case-study material with your written permission.

Confidentiality

Both sides treat the other's confidential information as confidential. That includes your business data, our pricing, scope details, and any private discussion either way. We'll sign a separate NDA on request if your legal team needs one — most engagements don't require it because these standard terms already cover the same ground.

What we don't do

  • We don't replace your team. Every output is reviewed by your team before it ships.
  • We don't create active Meta ads on your behalf. Our tooling pushes paused ads back to your account for your review. Activation is your call.
  • We don't fabricate brand facts. Every claim in copy, every asset in creative traces to your source materials. We have technical guards (Three Load-Bearing Promises) that block delivery if a claim can't be sourced.
  • We don't operate on accounts we don't have explicit access to. Every Meta read or write happens via a system user token you assigned to us.

Liability

We work hard to ship what we promise. We can't, however, guarantee specific business outcomes — revenue, growth, ROAS, conversion rates — beyond the explicit guarantees written into individual scope docs.

Our total liability for any engagement is capped at the fees you've paid us under that engagement in the 12 months preceding the claim. We're not liable for indirect or consequential losses (lost profits, lost opportunities, downstream damage). This limitation doesn't apply where capped liability is prohibited by law.

We carry no warranties beyond those explicitly written into your scope doc. Services are provided "as is" with the diligence and care you'd expect from senior practitioners.

Termination

Either side can terminate an engagement at any time by giving written notice (email suffices).

  • Fixed-fee engagements: if you terminate before delivery, you pay for work completed to date pro-rata. We hand over what's been produced.
  • Monthly retainers: terminate at the end of the current billing month. No long lock-ins. Founding-rate cohort retainers may have a 6-month minimum specified in the scope doc.
  • On termination, we revoke any Meta system user access you've granted us, hand over outstanding deliverables, and destroy local copies of your brand assets unless you ask us to retain them for ongoing reference.

Disputes

If something goes wrong, talk to us first. Email liam@copyweb.io with what's wrong and what you want to happen. We respond within 5 business days. Most disputes resolve at that stage.

Where a dispute can't be resolved in good faith, it's governed by the laws of South Africa, and the parties submit to the non-exclusive jurisdiction of the South African courts. International clients can request arbitration under ICC rules in lieu of litigation, at their cost.

Updates to these terms

We update these terms when our practices change materially. The "Last updated" date at the top reflects the most recent change. Active clients are notified by email when a change materially affects an ongoing engagement; in that case, the terms applicable to your engagement are those in effect on the date you signed your scope doc, not the current site terms.
